Experience
Mr. Thompson’s mergers and acquisitions experience includes public company, private company and subsidiary acquisitions, as well as strategic equity investments. Mr. Thompson also has experience in corporate finance, including registered public offerings and 144A placements of debt securities and preferred stock. Mr. Thompson has represented clients in venture capital financings and in initial and subsequent offerings of common stock. Mr. Thompson’s corporate law experience also includes the nuts and bolts of corporate practice, such as board meetings and other corporate housekeeping, shareholder rights and agreements, entity formation, and structuring and negotiating capital structure. Mr. Thompson previously practiced corporate law with Willkie Farr & Gallagher in New York City, and investment banking with Bear Stearns in Los Angeles.
Finally, Mr. Thompson has substantial experience drafting and negotiating software deals, including installed software license agreements, software as a service agreements (Saas), service level agreements, data breach provisions, EULAs (end-user license agreements), software reseller and distributor agreements, and software sales agent agreements.
