Sterling A. Spainhour, former Deputy General Counsel for Wachovia Corporation (now Wells Fargo), has extensive experience in the banking and financial services industry, especially in the drafting and negotiation of complex technology, outsourcing, and telecommunications agreements with specific emphasis on banking and financial institutions. His experience includes advising clients on hardware, software, and other related agreements, that include functional outsourcing of software development, technology platforms, and infrastructure support, (i.e., “cloud computing”). His transactional experience extends to all aspects of domestic and international outsourcing, including (among others) human resources, business processes, and software modification and maintenance.

As Deputy General Counsel for Wachovia Corporation, Sterling had direct responsibility for all legal matters relating to technology, outsourcing, intellectual property licensing, supply chain, corporate real estate, and mergers and acquisitions.

Academic Experience:

Mr. Spainhour was Adjunct Professor of Law at Wake Forest School of Law for sixteen years where he taught courses in banking and financial institutions law and advanced contract drafting and negotiations. He has also been a full-time Professor at Charlotte School of Law (Charlotte, NC) where he taught similar courses.

Mr. Spainhour has written extensively on the subject of outsourcing contracts and contract drafting principles. His most recent publications are published at CMIDaily.com
